1.1 Commencement of Contract
The contract comes into effect as soon as UTZ MEDIEN AG has confirmed the customer's application for conclusion of the contract submitted via online registration, orally, by telephone or in writing. UTZ MEDIEN AG determines the start of use by the customer and through activation.
The fees for the paid services are shown in the online registration. Price adjustments for existing services or the introduction of new services are possible at any time. Price adjustments will be announced in advance. Content adjustments to entries can be made at any time and free of charge directly by the customers themselves.
1.2 Duration of Contract
The contract is concluded for a term of 12 months (or as agreed). This is extended after expiry of the agreed duration by a further term of 12 months, unless proper written notice is given at least 10 days before the end of the contract. Customers are contacted by email well before the expiry of the term and have the opportunity to modify, cancel or extend the subscription for another year.
1.3 Termination / Notice Period
Either contracting party may terminate the contractual relationship in writing with 30 days' notice to the end of the agreed period.
2. Services of UTZ MEDIEN AG
2.1 Availability of Website www.sebastos.com
UTZ MEDIEN AG endeavours to take all possible and reasonable measures for the smooth provision of the agreed services. Since the service is partly based on external IT systems whose operation is not within the responsibility of UTZ MEDIEN AG, uninterrupted and constant availability of sebastos.com cannot be guaranteed.
UTZ MEDIEN AG does everything possible to resolve any technical problems as quickly as possible. The customer is informed of any operational interruptions or when carrying out maintenance work, introducing new technologies etc. UTZ MEDIEN AG endeavours to keep such interruptions short and, whenever possible, to schedule them during off-peak hours.
2.2 Data Security
UTZ MEDIEN AG takes all necessary measures to secure its data. However, this does not guarantee the restoration of data after any loss. The customer is therefore responsible for backing up their own entry data.
3. Customer Obligations
3.1 Lawful Use
A user account is created via online registration for recording entries. The customer is responsible for treating login data confidentially and not sharing it. The customer undertakes not to misuse the services offered in the portal and to refrain from unlawful actions. The content and information accessible via sebastos.com (including images, logos etc.) are protected. The data may only be used in the form expressly approved by UTZ MEDIEN AG or third-party providers or with the express consent of the authorised party.
3.2 Cooperation and Omission Obligations
The customer ensures that equipment and devices in their possession that are used for utilising the services of sebastos.com are protected from unauthorised access and manipulation. If the customer uses third-party services through the use of UTZ MEDIEN AG's services, they are responsible for compliance with their terms and can be held directly liable in case of damage.
3.3 Publication of Information by the Customer
The customer undertakes that all content published by them or under their name (particularly texts, documents, videos, images etc.) complies with legal requirements. The customer assumes full responsibility for their content.
The customer is responsible for ensuring that all content uploaded by them and published on sebastos.com is free from third-party copyrights or does not infringe third-party copyrights.
If entries recorded by customers lead to compensation claims by third parties against UTZ MEDIEN AG due to copyright infringement, the customer is obliged to compensate UTZ MEDIEN AG for the damage incurred.
4. Warranty and Liability
4.1 Principle
UTZ MEDIEN AG is not liable to the customer or to their contractual partners for any claims or compensation demands by third parties.
UTZ MEDIEN AG is not liable for damage caused to the customer by misuse of the connection by third parties. Customers are solely responsible for the availability, accuracy and appropriateness of information and services on the internet. UTZ MEDIEN AG assumes no responsibility for contractual or other relationships established via sebastos.com between customers amongst themselves or between customers and third parties.
4.2 Customer Liability
The customer is liable to UTZ MEDIEN AG for damage that can be attributed in any way to the non-performance or poor performance of their contractual obligations, unless they can prove that they are not at fault. The customer undertakes to indemnify UTZ MEDIEN AG against all third-party claims resulting from unlawful or abusive use.
4.3 Payment Terms / Invoicing
The customer has the choice between online payment (Mastercard, VISA, PayPal, instant transfer) and invoice for the agreed services. The corresponding service obligations arise from the current price list or the agreement individually made with the customer. All prices are always exclusive of applicable VAT in Switzerland. Unless otherwise agreed in writing, invoices are payable within 14 days of invoicing. Entries are only activated by UTZ MEDIEN AG after payment has been received.
5. Supplementary Provisions
5.1 Amendment of Terms and Conditions
UTZ MEDIEN AG reserves the right to change these terms and conditions as well as other conditions at any time. The amended provisions only come into effect after expiry of the agreed contract duration. The changes are communicated to the customer in written form and are deemed accepted if the customer does not terminate the contract with UTZ MEDIEN AG within 30 days of notification to the end of the agreed contract duration.
5.2 Applicable Law, Jurisdiction
This contractual relationship is subject to Swiss law. For any disputes arising from this contractual relationship, the exclusive place of jurisdiction is Bad Zurzach, unless there is a legally mandatory place of jurisdiction.
